Client Services
The professional practice of The Law Offices of David L. Price focuses on business and business litigation, administrative law, real estate, and construction. The following synopsis is intended not as a limitation of the firm's practice areas but as an illustration of the firm's experiences and practice areas.
Administrative
We handle professional licensing and disciplinary matters before regulatory agencies; labor and employment proceedings; and related administrative claims.
Alternative Dispute Resolution
We represent clients in arbitration and mediation proceedings when appropriate. Mr. Price is also trained and experienced as both an arbitrator and a mediator.
Appellate
We represent clients in appellate and writ proceedings as and when necessary. Mr. Price has the ability to quickly grasp complex legal issues and to write with exceptional skill and clarity. He has also had the opportunity to argue before the California Supreme Court.
Civil Litigation
We represent both plaintiffs and defendants in civil matters in state and, on occasion, federal court. These matters will include corporate and partnership disputes, employment claims, construction and mechanic's lien claims, professional malpractice, competitive business practices and disputes, real estate matters, and general negligence and fraud cases. We handle all aspects of civil litigation, including discovery, settlement efforts, trial and appeals. We represent parties in claims against insurers and as counsel engaged by the insurer. In these various capacities, we are experienced in representing buyers and sellers, borrowers and lenders, employers and employees.
Construction, Development, Property Management and Real Estate
We represent clients in real estate, property management and construction transactions, including, by way of illustrative examples: purchase and sale agreements for residential or commercial properties; commercial leasing, property management and commercial unlawful detainer proceedings; injunctive and receivership proceedings; construction defect and contract disputes; and mechanic's lien claims.
Corporations and Partnerships
We advise clients in forming new business associations and work closely with other professionals as necessary and appropriate. In the formation of new corporations, for example, we prepare articles of incorporation; by-laws; meeting minutes, resolutions and related documentation; and shareholder buy-sell agreements. Most importantly, we diligently advise clients on the rights and duties of corporate officers and directors, and are available to assist with general business counseling as is determined to be necessary.
We also assist clients in the formation of limited liability companies and general or limited partnerships, including preparing all applicable agreements and providing such general business advice as is necessary. We also work closely with clients in dissolving and winding up the affairs of business organizations.
Finally, we work with business clients on an ongoing basis as needs arise. We prepare purchase and sale agreements, confidentiality agreements, non-disclosure agreements, employment agreements, leases and licensing agreements. We also advise clients regarding trade secrets and confidential information and intellectual property rights.
Estate Planning and Administration
We work with clients to prepare wills and to administer probate and estate proceedings. We also work closely with strategic partners and affiliated lawyers in areas of estate planning, revocable living trusts, and asset protection.
Sports and Entertainment
Having continuously represented the Sacramento Kings' organization since the team relocated to Sacramento in 1985, Mr. Price recognizes the unique opportunity which has been presented to him to work with other professional sports teams in the Sacramento region.
